Job Summary:
To support Banpu’s overseas entities by coordinating corporate secretarial matters, ensuring legal compliance, and maintaining good corporate standing across multiple jurisdictions. You will gain hands-on experience preparing corporate documents, liaising with international stakeholders, and supporting key business transactions.
Responsibilities:
- Assist in coordinating and following up with overseas corporate secretaries on mandatory filings and reporting (e.g., audited financial statements, tax returns, licensing) for Banpu’s overseas entities that lack in-house Legal or Company Secretary functions, ensuring compliance with jurisdictional laws and maintaining good corporate standing.
- Prepare board and shareholder resolutions, along with supporting documentation, to authorize business transactions for Banpu’s overseas companies under the supervision of senior staff.
- Coordinate with overseas corporate secretaries on corporate matters as assigned by supervisors.
- Assist in conducting legal reviews of overseas corporate secretaries.
- Prepare powers of attorney in both Thai and English to support the execution of corporate transactions.
- Handle company registration matters with the Department of Business Development, the Ministry of Commerce.
- Performs other duties as assigned by superior.
Qualifications:
- Bachelor’s degree in Bachelor of Laws (LL.B.) or equivalent legal qualifications (preferred)
- Attorney-at-Law License (preferred)
- Notarial Services Attorney certification (preferred)
- At least 3 years of work experience in the corporate law field (preferred)
- Understanding of Thai and international corporate law and regulatory compliance is an advantage
- Experience in corporate governance, compliance, or legal administration is an advantage
- Strong command of English, both written and spoken, for effective communication with international stakeholders and legal professionals (TOEIC Score at least 700)
- Proficiency in legal and business English, essential for cross-border coordination
- Attention to detail and ability to manage multiple tasks efficiently
- Strong organizational and documentation skills
- Ability to work collaboratively with cross-functional teams
