Tulip has been recognized as a World Economic Forum Global Innovator, a 2024 Deloitte Technology Fast award winner, one of Energage’s Top Workplaces USA, and one of Built In Boston’s “Best Places to Work” and “Best Midsize Places to Work.”</p> <p><strong>About You:</strong></p> <ul> <li>Able to convey strong and prompt communication while consistently adapting and prioritizing in a fast-paced environment.</li> <li>Highly collaborative and able to organize and manage projects across multiple teams.</li> <li>Quick learning self-starter with an outstanding record and demonstrated ability to work with minimal supervision.</li> <li>Tactful with strong internal and external negotiating skills.</li> <li>Detail-oriented, well-organized, and technically adept.</li> </ul> <p><strong>What skills do I need?</strong>&nbsp;</p> <ul> <li>Juris Doctor (JD) required; 7+ years of relevant legal experience (with 3+ years in-house, ideally software/tech) in corporate and commercial/technology matters.</li> <li>Strong experience leading complex contract negotiations and drafting software/SaaS agreements, vendor contracts, and NDAs.</li> <li>Familiarity with corporate governance, entity management, equity plans, and financings (cross-border context preferred).</li> <li>Understanding of data privacy (HIPAA, HITECH, GDPR) highly preferred; high professional ethics and integrity required.</li> <li>Excellent written/verbal English; ability to provide clear, business-oriented recommendations to executives and internal stakeholders across jurisdictions.</li> <li>Must be comfortable engaging with a range of global customers (SMB to Fortune 500).</li> <li>Proven ability to drive cross-functional legal projects with business and legal teams (e.g., regulatory, product).</li> <li>Willingness to handle matters outside primary areas; ability to quickly learn new technologies and associated legal issues.</li> </ul> <p><strong>Key Responsibilities:</strong></p> <p><strong>Commercial &amp; Technology Contracts</strong></p> <ul> <li>Draft, review, and negotiate customer, partner, and reseller agreements (MSAs, order forms, SOWs, DPAs, SLAs).</li> <li>Advise on key risk areas (IP, data protection, liability, indemnities, payment/renewal terms) and propose practical alternatives.</li> <li>Maintain and refine contract playbooks, templates, and NDAs.</li> </ul> <p><strong>Corporate &amp; Entity Management</strong></p> <ul> <li>Support global corporate governance and entity management (board/shareholder consents, corporate records, local counsel coordination).</li> <li>Assist with equity and incentive plans, and corporate approvals.</li> <li>Contribute to financings and strategic transactions (document review, diligence support, advisor coordination).</li> </ul> <p><strong>Employment, Privacy &amp; Compliance</strong></p> <ul> <li>Support People/HR on employment agreements and policies.</li> <li>Support privacy and data protection initiatives (e.g., DPAs, SCCs, GDPR).</li> <li>Assist in maintaining and communicating internal policies (code of conduct, anti-bribery, sanctions/export, information security).</li> </ul> <p><strong>Vendor, Procurement, &amp; Legal Operations</strong></p> <ul> <li>Review and negotiate vendor and procurement contracts (SaaS, licenses, services).</li> <li>Partner with business owners (IT, Security, Finance) to ensure appropriate protections and tracking of key terms.</li> <li>Help implement and optimize legal operations tools (CLM, repositories) and self-service resources.</li> <li>Support cross-functional projects (market launches, product reviews, updates to standard terms).</li> </ul> <p><strong>Key Collaborators:</strong></p> <ul> <li><strong>Executive Leadership:</strong> CEO, CFO, COO, CMO, CPEO.</li> <li><strong>Go-to-Market &amp; Sales (GTM):</strong> Primary business partner for commercial deal execution.</li> <li><strong>Internal Operations:</strong> People Operations, IT, Security, Finance.</li> <li><strong>External Advisors:</strong> Labor &amp; Immigration counsel, local counsel, and other specialized external counsel.</li> </ul> <p><strong>Working At Tulip</strong></p> <p>We know even great candidates experience imposter syndrome. Within the range posted, actual compensation will be determined depending on multiple factors including job-related knowledge &amp; skills, experience, business needs, geographical location, market compensation data, and internal equity.&nbsp;<em>Expected compensation ranges for this role may change over time.&nbsp;</em>The salary range for this position is $160,000-$195,000 year.<strong>&nbsp;</strong></p><div class="content-conclusion"><p class="p1">It is unlawful in Massachusetts to require or administer a lie detector test as a condition of employment or continued employment.
