What you'll do
We are seeking an experienced Corporate Legal Counsel. You will assist the team with governance, compliance, and risk management, ensuring the legal team runs efficiently while providing practical, commercial advice across the business.
Key Responsibilities:
- Assist in drafting, reviewing, and managing corporate documents, including the preparation of documentation for board meetings, shareholder meetings, and corporate resolutions and liaise with internal stakeholders regarding same.
- Support company registration, filings, and compliance with corporate governance requirements.
- Maintain and update corporate records, registers, and statutory books in accordance with legal obligations.
- Coordinate with external legal advisors and government authorities on corporate matters.
- Monitor changes in corporate law and regulations, ensuring timely internal updates and compliance.
- Participate in process improvements to streamline legal and corporate operations.
- Liaise with regulators, notaries, and other external parties on corporate compliance matters.
- Monitor corporate deadlines and ensure timely submissions to authorities.
- Support contract life cycle management, including execution, storage, and archiving.
- Conduct legal research on corporate law, governance, and regulatory requirements.
- Prepare briefings and presentations on legal and corporate governance matters for management.
- Coordinate company secretarial activities.
- Maintain a centralized repository of legal documents.
- Assistance with supplier/customer KYC/AML requests.
