Your role:

Are you a dynamic legal professional looking to build a career beyond traditional practice? Are you a strategic thinker with an entrepreneurial mindset, eager to apply your legal skills in a fast-paced, technology-driven environment?

As Corporate Counsel, you will play an active role in supporting complex commercial, regulatory, and operational matters across the business. You will advise on emerging issues at the intersection of technology and law, including artificial intelligence, data protection, cybersecurity, privacy, surveillance, and data sovereignty.

In this role, you will contribute to key business initiatives, not solely legal tasks. You will support the development of new partnerships and distribution channels, and advise on matters relating to compliance archiving, data protection, eDiscovery, and business continuity within highly regulated industries.

You will work closely with cross-functional stakeholders and collaborate with experienced in-house counsel, gaining exposure to a broad range of commercial and strategic initiatives. This position offers meaningful responsibility, mentorship, and the opportunity to develop both your legal expertise and business acumen.

This is a hybrid role with a minimum of three days per week in person at our global head office in Vancouver, BC.

Your responsibilities:

  • Commercial Transactions: Review, negotiate, and draft customer and vendor agreements, policies, partner agreements, and conduct business/legal negotiations
  • Strategic Advisory: Advise internal teams on a broad spectrum of legal and business issues, including data protection and sovereignty requirements, contractual commitments, industry-specific compliance obligations, intellectual property rights, and employment and human resources issues
  • Revenue & Retention: Provide legal support related to customer retention, renewals, and other related legal/accounting issues
  • Go-to-Market & Innovation: Provide business support in the development of Global Relay's sales, marketing and business development strategies, new go-to-market strategies, product design, deployment, and positioning to help maximize revenues of the business team
  • Operational Support: Provide operational support with Global Relay's internal policies, communications, training, and education on Global Relay services and general governance
  • Compliance & Risk: Provide support relating to compliance & eDiscovery as well as the investigation of potential security and privacy incidents, including analyzing relevant legal and regulatory responsibilities, and providing guidance to internal clients on mitigation, remediation, and resolution efforts
  • Business Partnership: Build relationships to provide practical and strategic advice to assist the business in meeting its objectives
  • Legal Judgment: Advise on recommended courses of action and legal risk, with the ability to judge when to escalate identified issues as appropriate

 About you:

  • Legal Expertise: 2-8 years of post-qualification legal experience as a practicing lawyer in British Columbia, preferably with in-house experience at a SaaS technology company or with a background in corporate/commercial law at a leading law firm
  • Commercial Precision: Strong drafting and negotiation skills across a wide range of commercial and technology agreements, including master terms of services, data processing addenda, information security documents, and other types of transactional agreements
  • Industry Sophistication: Experience working on cybersecurity and privacy-related transactional matters across North America and Europe with highly regulated customers, especially those in the financial services and life sciences industries
  • Regulatory Fluency: Knowledge of global security, privacy, and regulatory frameworks, including PIPEDA, GDPR, CCPA, CPRA, HIPAA ISO, SOC2, and FedRAMP
  • Cross-Functional Advisor: Ability to maintain strong working relationships with a variety of internal clients and business partners from a variety of functions across Global Relay’s offices
  • Operational Agility: Ability to organize, prioritize, and manage multiple competing deadlines with strong organizational skills and the ability to be flexible and self-directed in a fast-paced environment with limited direction
  • Collaboration & Culture: Self-motivated, credible and confident individual who takes initiative and is comfortable rolling up their sleeves, team-oriented with a sense of humor and high emotional intelligence, curious and passionate about technology, data, AI and privacy matters
